1. Rights, Duties, and Responsibilities of the Service Provider
1.1 The Service Provider reserves the right to disclaim liability for any damages arising from service interruptions caused by Force Majeure or external factors beyond the Service Provider’s control, such as regulatory actions or interventions. Nevertheless, the Service Provider shall notify the User of such disruptions without undue delay.
1.2 Under no circumstances shall the Service Provider be liable for any indirect, punitive, special, or consequential damages, including but not limited to loss of profits, revenue, or data. Notwithstanding anything to the contrary, the Service Provider’s total aggregate liability shall be strictly limited to the actual service fees paid by the User.
1.3 To remain compliant with relevant regulatory requirements and/or evolving technological standards, the Service Provider reserves the right to amend or modify the Terms and Conditions of the I-BOX service under this agreement. The Service Provider will provide advance notice of such changes via email or through official announcements on the website https://www.i-box.app/ It is the User’s responsibility to stay informed and regularly review the latest Terms and Conditions provided by the Service Provider.
2. Rights, Duties, and Responsibilities of the User
2.1 The User shall be responsible for using the i-BOX system in strict accordance with the methods and procedures prescribed by the Service Provider. Further details and guidelines can be studied at https://bit.ly/4oJB3rr
2.2 The User represents and warrants that all data, documents, or information (including personal data and information required for submission to government agencies) imported, uploaded, or transmitted through the Service Provider's system or platform under this Agreement is accurate, complete, true, current, and fully compliant with all applicable laws. The User shall be solely liable for any damages, costs, or liabilities incurred by the Service Provider or any third party arising from or in connection with any inaccuracies, incompleteness, falsehoods, or delays in such data submission. In the event of any changes or inaccuracies in the data, the User is duty-bound to correct or update the information in the Service Provider’s system without undue delay.
2.3 The User shall be responsible for providing and maintaining all necessary standard equipment, hardware, and internet connectivity required to access the services at their own expense.
2.4 The User must designate a representative and communication channel for corresponding with the Service Provider regarding information updates or progress reports. In the event of a change in the designated representative or communication channel, the User must notify the Service Provider within 3 (three) days.
2.5 The User warrants their responsibility to supervise all employees, agents, authorized persons, and users (collectively, "Users") who access or use the services under the User's account. Such individuals must strictly comply with all terms and conditions specified in this Agreement. Any violation or breach of these terms by such individuals shall be deemed a direct breach by the User, for which the User shall be held fully liable for all resulting damages.
2.6 The rights granted under this Agreement are personal to the User. The User agrees not to allow any third party to access or use the i-BOX system under any circumstances, unless prior written consent has been obtained from the Service Provider.
2.7 The User hereby grants the Service Provider the right to use the User’s name, brand logo, and trademarks for the purposes of showcasing work, establishing business credibility, inclusion in portfolios, and presentations to prospective clients to demonstrate service quality and standards. The Service Provider agrees to use such information with respect and appropriateness, and shall strictly refrain from any use that may damage the User’s corporate image.
3. Intellectual Property
The User acknowledges and agrees that all ownership, copyrights, and intellectual property rights in and to all tools, equipment, and software—including but not limited to all technologies installed or provided by Netbay under the services of this Agreement—remain the sole and exclusive property of the Service Provider. The User is granted only a temporary right to use the services in their capacity as a subscriber, subject to the terms and conditions set forth in this Agreement. Furthermore, nothing in this Agreement shall be construed as a transfer of any intellectual property rights between the parties, whether directly or indirectly.
4. Personal Data Processing
4.1 The Service Provider (acting as the Data Processor) shall process personal data received from the User (acting as the Data Controller) solely for the purpose of providing the i-BOX system and other related services under this Agreement. The Service Provider shall implement appropriate technical and organizational measures to ensure the security of personal data, including the prevention of unauthorized or unlawful access, use, disclosure, modification, or destruction. Furthermore, the Service Provider shall ensure that all relevant personnel are bound by confidentiality obligations and strictly comply with applicable data protection laws and regulations.
4.2 The User represents and warrants that all personal data provided to the Service Provider has been obtained lawfully, and that the User possesses the absolute right to disclose such data for processing in accordance with the purposes specified in this Agreement.
